These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications provided by VIVIESCAS INC ("VIVIESCAS," "we," "us," or "our"). Please read these Terms carefully.
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
VIVIESCAS provides custom software engineering, platform development, micro-SaaS architecture, and infrastructure scaling specifically tailored for digital creators and service businesses. The exact scope of work for any given project is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between VIVIESCAS and the client.
3. Intellectual Property Rights
Upon full payment of all undisputed fees associated with a project, VIVIESCAS assigns to the client all rights, title, and interest in the custom code, designs, and platforms developed specifically for that client. VIVIESCAS retains ownership of any pre-existing code libraries, open-source integrations, and underlying middleware architectures used across multiple projects, granting the client a perpetual, royalty-free license to use those elements within their platform.
4. User Responsibilities
You are responsible for providing timely access to necessary assets, API keys, and decision-makers required for the development of your platform. Delays caused by the client may result in adjusted timelines and additional fees.
5. Limitation of Liability
In no event shall VIVIESCAS, its directors, employees, or partners be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use or alteration of your transmissions or content.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
